Corporate governance structure

We have designed our corporate governance structure to best support our business, meet the needs of our stakeholders and comply with laws and regulations. Koninklijke Ahold Delhaize N.V. (“the Company” or “Ahold Delhaize”) is a public company under Dutch law, structured to execute our strategy and to balance local, regional and global decision-making. In 2020, our Company comprised a Global Support Office and two reportable segments: The United States of America and Europe, each of which are made up of a number of local brands. Ahold Delhaize has a two-tier board structure with a Supervisory Board and Management Board that are accountable to our shareholders. Our Management Board has ultimate responsibility for the overall management of Ahold Delhaize. The Supervisory Board supervises and advises the Management Board.

The Executive Committee comprises our Management Board and other key officers of the Company, led by the Chief Executive Officer. The Executive Committee has been established to involve a broader leadership team in the decision-making process and to optimize strategic alignment and operational execution while having the flexibility to adapt to developments in the business and across the Company and the industry.

Speak Up! Ahold Delhaize and each of its local brands are committed to conducting business in an ethically responsible manner that is based on integrity and in compliance with all applicable external laws and regulations.

To support this commitment, Ahold Delhaize and the local brands maintain resources, including a reporting line (the “Speak Up Line”) which can be used to report potential misconduct or to get additional guidance regarding ethical or compliance issues.

How we disclose information on trading our stock and other securities

According to Dutch law, members of the Supervisory Board and the Management Board must notify the Dutch Authority Financial Markets (Authoriteit Financiële Markten) of any transactions in Ahold Delhaize securities concluded by or on behalf of them.

The current number of Ahold Delhaize securities held by the members of the Supervisory Board and the Management Board can be found in the public register of the Dutch Authority Financial Markets.

Our Supervisory Board, Management Board and Executive Committee are bound to Ahold Delhaize policy on inside information and securities trading.
